Standard Commercial Framework
These terms and conditions, together with our General Terms & Conditions of Sale as stated on our despatch notes, form the binding commercial contract between Mackle Pet Foods (a division of John Mackle (Moy) Ltd., hereinafter referred to as "the Supplier" or "the Company") and the Buyer ("the Customer").
They supersede all prior documentation, commercial proposals, purchase orders, or conflicting conditions originating from the Buyer or Supplier. Any modification or amendment to these terms must be validated in writing and bear the signature of an authorized director of Mackle Pet Foods.
Key Commercial Summary: All product orders are accepted subject to price rulings on the confirmed dispatch date. Standard commercial credit terms require net payment within 30 days of invoice date unless otherwise specified in writing.
General Terms and Conditions of Sale
- Definitions: In these terms and conditions, "the Company" shall mean Mackle Pet Foods; "the Customer" shall mean the individual, firm, retailer, distributor, or corporate entity contracting to purchase goods; and "the Goods" shall mean canned pet food, foil trays, pouches, dry pet food, and any related pet nutrition products manufactured or supplied by the Company.
- Binding Agreement: All commercial engagements, private label manufacturing, OEM agreements, and wholesale supplies undertaken by the Company are executed under the terms contained herein. Placing a purchase order constitutes full acceptance of these terms by the Customer.
- Order Acceptance & Quotations: Any purchase order placed by the Customer represents a commercial offer to purchase Goods. The Company reserves the right to accept or decline any order, in whole or in part, at its discretion. A contract is formalized once the Company dispatches the Goods or issues written confirmation of order processing.
- Delivery Protocols: Deliveries are made to the entrance of the Customer's designated warehouse or commercial site. The Company is not responsible for internal handling, distribution, or movement within the recipient's facility. Unless agreed in writing, multi-point drops for a single order batch are not supported.
-
Title & Risk Transfer:
- Ownership and property of the Goods remain strictly with the Company until full payment has been received and cleared for all delivered items.
- If the Customer resells or disposes of the Goods before full payment, all proceeds arising from such sale must be held in trust for the Company, and buyer records must be disclosed to facilitate direct recovery if required.
- Until title passes, the Customer acts as bailee for the Company and must store the Goods separately, ensuring clear identification as property of Mackle Pet Foods.
- The Company reserves the right to repossess Goods in the event of default or non-payment, accessing the Customer's premises where Goods are stored.
- Risk of loss or damage to the Goods passes to the Customer immediately upon physical delivery to the Customer’s specified location.
- Invoicing & Billing Statements: Invoices are generated at or immediately following dispatch, outlining item specifications, quantities, and landed pricing (list price at dispatch less agreed commercial discounts). Summary account statements are transmitted monthly to active trade accounts.
- Payment Terms & Settlement: All invoices must be settled in full strictly according to agreed payment terms (standard net 30 days from invoice date) without deduction, withholding, or unauthorized set-off for pending queries.
- Quality Claims & Inspection Window: Claims regarding quantity discrepancies, package damage, or batch quality issues must be reported in writing to the Company within 10 days of documentation or consignment receipt. Uncontested balance payments may not be withheld pending dispute resolution.
- Delivery Timelines: Estimated delivery dates provided by Company representatives represent commercial estimates only and do not constitute strict contractual deadlines. The Company bears no liability for indirect or consequential losses resulting from shipping or transit delays.
- Product Returns & Restocking: Goods may only be returned upon prior written agreement signed by an authorized manager. Approved returns must be delivered securely to the Company's factory premises at the Customer's risk and expense.
- Pallet Management Policy: Deliveries are typically executed on standard returnable pallets (e.g., GKN / CHEP Blue Pallets). Pallets must be exchanged on a one-for-one basis or redeemed via an official Pallet Control Voucher at the time of consignment offloading.
- Non-Returnable Packaging: Outer cartons, shrink wraps, secondary sleeves, and cans are non-returnable. Only authorized pallet assets are eligible for exchange credits.
- Weight & Specification Approximations: Stated weights, volume metrics, and tray counts represent standard commercial approximations adhering to thermal processing guidelines and manufacturing tolerances.
- Collection Costs & Default Penalties: The Customer shall indemnify the Company against all administrative, legal, and collection costs incurred in recovering overdue balances or enforcing compliance under these terms.
- Waiver & Governance: Any failure or delay by the Company in exercising rights under these conditions does not constitute a general waiver of contractual terms. Contracts are governed in accordance with UK commercial laws.
